Terms of Service

1. Agreement with VidTok

These Terms form a binding agreement between you and Meridian Digital Media LLC (“VidTok,” “we,” “us,” or “our”) and govern your access to VidTok websites, applications, generation tools, feeds, communications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Who may use the Service

• You must be at least 13 and meet the minimum digital-consent age where you live.
• You must be at least 18 to access mature-content areas or use generation tools designated 18+.
• You must be able to form a binding contract. Purchases require the age of majority or authorization from a parent or legal guardian.
• You may not use the Service if applicable law bars you from doing so or if VidTok has permanently removed your access.

3. Your account

Provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless applicable law provides otherwise. We may require verification or limit access to protect users, the Service, or payment integrity.

4. AI generation and results

The Service uses automated systems to produce images, videos, text, audio, and related material. AI-generated results may vary, and specific outcomes are not guaranteed. Results may be incomplete, inaccurate, offensive, similar to material produced for others, or unsuitable for your purpose. Review results before using or sharing them, and do not rely on them as professional advice or as the sole basis for decisions with legal or material effects on a person.

5. Your content and permissions

“Content” includes prompts, uploads, profile information, posts, comments, and generated results. You retain rights you already have in your inputs. As between you and VidTok, and to the extent permitted by law, you own generated results. You are responsible for having the rights, permissions, and lawful basis needed for Content you submit, generate, publish, or otherwise use.

You grant VidTok a worldwide, non-exclusive, royalty-free license to host, process, reproduce, adapt, transmit, and display Content only as needed to operate, secure, moderate, and improve the Service and to honor your sharing choices. When you publish Content, this license includes making it available to other users. It ends when the Content is deleted from our systems, except for reasonable backup, legal, safety, and already-shared copies.

6. Public and private areas

Content you publish to a feed or public profile can be viewed, shared, copied, or stored by others. Content marked private is not intentionally published, but may be processed by authorized service providers and reviewed when necessary for safety, support, fraud prevention, legal compliance, or a quality-review feature you have enabled. Do not submit information you do not want processed by the Service.

7. Acceptable use

You may not use the Service to create, upload, request, distribute, or facilitate:

• illegal activity, fraud, scams, malware, unauthorized access, or evasion of safeguards;
• sexual content involving minors or youth-coded persons, exploitation, trafficking, coercion, or non-consensual intimate imagery;
• content depicting, derived from, or using any real person’s identity, image, voice, or likeness, including celebrities, public figures, performers, and private individuals;
• incest, rape, sexual violence, non-consensual sexual activity, bestiality, animal sexual content, torture, snuff content, graphic violence, or gore;
• sexual activity involving anyone who is asleep, unconscious, intoxicated, drugged, hypnotized, under mind control, impaired, coerced, or otherwise unable to consent;
• sexual or fetish content involving urine, feces or scat, vomit, menstruation, smegma, or diapers;
• requests, uploads, tools, or workflows intended to remove clothing from or “nudify” a real person;
• content that violates privacy, publicity, copyright, trademark, or other rights;
• credible threats, targeted harassment, hateful abuse, terrorist support, or instructions for serious wrongdoing;
• deceptive impersonation or materially misleading synthetic media presented as authentic; or
• automated scraping, reverse engineering, interference, excessive load, resale of access, or circumvention of usage limits.

Mature content, where offered, must involve unambiguously consenting adults and comply with the Service’s controls, notices, and applicable law. VidTok may use automated and human review to enforce these rules.

8. Credits and payments

Prices are displayed in the stated currency and taxes may be added when required. One-time credits are closed-loop service credits: they have no cash value, are non-transferable, and may be used only for eligible VidTok features. Credits are delivered after payment verification. Purchased credits have no scheduled expiration while your account and the applicable paid feature remain available.

Technical generation failures return the credits reserved for that generation. Credits used for a completed generation are not refundable, except where required by law. Additional details appear in the Refund Policy and at checkout. Subscription terms, if subscriptions are offered in the future, will be disclosed before enrollment and recurring billing begins.

9. Third-party services

The Service relies on third parties for functions such as payments, hosting, communications, security, and media processing. Their services may be governed by separate terms. VidTok is not responsible for third-party products outside our control, but we remain responsible for our own obligations under applicable law.

10. Enforcement and account termination

We may remove Content, restrict mature features, hold credits affected by a payment dispute, suspend an account, or terminate access when we reasonably believe these Terms were violated, the Service or another person is at risk, or law requires action. Where appropriate, we will provide notice and a way to contact us. You may stop using the Service at any time and may request account deletion.

11. Intellectual property and notices

VidTok and its licensors own the Service, software, branding, and associated intellectual property. These Terms do not grant rights to our trademarks or underlying technology. If you believe Content infringes your rights, contact us with the location of the material, your contact information, the right at issue, and a good-faith statement supporting your request.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” VidTok disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted, error-free, secure, or perfectly accurate operation, or that Content will be preserved. Some jurisdictions do not allow certain disclaimers, so they may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, VidTok and its affiliates, personnel, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunity. Our aggregate liability arising from the Service will not exceed the greater of $100 or the amount you paid VidTok during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law.

14. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless VidTok and its affiliates, personnel, and suppliers from third-party claims arising from your unlawful Content, your misuse of the Service, or your material violation of these Terms or another person’s rights.

15. Changes and discontinuation

We may update the Service or these Terms. If a change materially reduces your rights, we will provide reasonable notice when required. Continued use after the effective date means you accept the updated Terms. If we discontinue paid-credit functionality, we will provide notice and an appropriate remedy for remaining paid credits as required by law.

16. Governing law

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles. Unless applicable law requires another forum, disputes that cannot be resolved informally will be brought in a state or federal court with jurisdiction in Wyoming. Nothing in these Terms limits non-waivable consumer rights.

17. General

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, financing, reorganization, or sale of the Service.
